1. Acceptance of Terms
By accessing or using Memsy's services (“Services”), you agree to be bound by these Terms of Service (“Terms”). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
2. Description of Services
Memsy provides an organizational memory API designed for AI applications (“Memory Infrastructure”). Our Services include:
- Passive extraction of organizational knowledge from AI application interactions
- Structured memory storage linked to roles, functions, and organizational context
- Semantic memory retrieval via API
- Related developer tooling and documentation
3. Account Registration and Security
3.1 Account Creation: You must provide accurate, current, and complete information during registration and maintain the accuracy of your account information.
3.2 API Keys: You are responsible for maintaining the security of your API keys and all activity that occurs under them. Do not share keys publicly or commit them to version control. Notify us immediately at hello@memsy.io of any unauthorized access.
3.3 Eligibility: You must be at least 18 years old and have the legal capacity to enter into this agreement.
4. Acceptable Use
4.1 Permitted Use: You may use the Services only for lawful purposes and in accordance with these Terms.
4.2 Prohibited Activities: You may not:
- Use the Services for illegal activities or in violation of any applicable law
- Process personal data without a valid legal basis, required disclosures, or necessary consents
- Submit data designed to corrupt or manipulate a memory index
- Attempt to gain unauthorized access to our systems or other users' data
- Reverse engineer, decompile, or attempt to extract source code, models, or underlying architecture
- Use the Services to build a competing organizational memory product
- Create multiple accounts to circumvent usage limits
4.3 Operator Responsibility: You are responsible for your application's use of the Services, including your end users' actions taken through your integration.
5. Data and Privacy
5.1 Your Data: You retain full ownership of all data you submit to the Services (“Customer Data”). We do not claim any ownership rights over your Customer Data or any organizational memory derived from it.
5.2 License to Process: By submitting Customer Data, you grant us a limited right to store, process, and retrieve that data solely to provide the Services to you.
5.3 No Model Training: We do not use your Customer Data to train, fine-tune, or improve any machine learning model.
5.4 Data Deletion: You may request deletion of your memory index at any time by contacting hello@memsy.io. Upon account termination, your data will be deleted from active systems within 30 days.
5.5 Privacy Policy: Our collection and use of personal information is governed by our Privacy Policy, incorporated by reference.
6. Organizational Memory and Consent
6.1 Operator Consent Obligations: When deploying Memsy within your product or organization, you are responsible for obtaining all necessary consents and providing required disclosures to individuals whose interactions are submitted to the Services.
6.2 Accuracy: Organizational memories are extracted using machine learning and may be incomplete or inaccurate. Do not rely on them as the sole basis for consequential decisions about individuals.
6.3 Privacy Law Compliance: You are responsible for complying with all applicable privacy laws — including GDPR, CCPA, and local equivalents — governing the personal data contained in interactions you submit.
7. Service Availability
7.1 Uptime: We strive to maintain availability but do not guarantee uninterrupted access. The Services are in early access and may change without notice.
7.2 Maintenance: We may perform maintenance that temporarily affects availability. We will provide reasonable notice when possible.
8. Intellectual Property
8.1 Our IP: Memsy retains all rights to our technology, software, models, and platform. These Terms grant you only a limited license to use the Services.
8.2 Your IP: You retain ownership of your applications, integrations, and intellectual property built using the Services.
8.3 Feedback: Any feedback you provide about the Services may be used by us without restriction or compensation.
9. Limitation of Liability
To the maximum extent permitted by law:
9.1 Our total liability for any claims arising from these Terms or the Services shall not exceed $100.
9.2 We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data loss.
9.3 The Services are provided “as is” without warranties of any kind, express or implied, including fitness for a particular purpose or non-infringement.
10. Indemnification
You agree to indemnify and hold harmless Memsy from any claims, damages, or expenses arising from your use of the Services, violation of these Terms, or your failure to obtain necessary consents for data you submit.
11. Termination
11.1 By You: You may terminate your account at any time by contacting hello@memsy.io.
11.2 By Us: We may suspend or terminate your access immediately for violations of these Terms or if continued access poses a legal or security risk.
11.3 Effect of Termination: Upon termination, your right to use the Services ceases. Your data will be deleted in accordance with Section 5.4.
12. Modifications to Terms
We may modify these Terms by posting updated versions at memsy.io/terms. Material changes will be communicated with 14 days' notice by email. Continued use after the effective date constitutes acceptance.
13. Dispute Resolution
13.1 Governing Law: These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
13.2 Arbitration: Any disputes shall be resolved through binding arbitration under AAA Commercial Rules, conducted on an individual basis. Either party may seek injunctive relief in any court to protect intellectual property or prevent irreparable harm.
14. General Provisions
14.1 Entire Agreement: These Terms constitute the entire agreement between you and Memsy regarding the Services.
14.2 Severability: If any provision is found unenforceable, the remainder of these Terms remains in effect.
14.3 Assignment: You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
14.4 Force Majeure: Neither party is liable for delays or failures due to circumstances beyond reasonable control.
